7.8.2.4. PURCHASING DEPARTMENT IS RESPONSIBLE FOR BUSINESS AND LEGAL RISKS

Purchasing software involving a Clickwrap Agreement necessarily entails those business and legal risks described in Section 7.8.2.1(B). If a department wishes to minimize these risks, or declines to accept these risks, then a Clickwrap Agreement cannot be utilized.  Instead, a purchase order or negotiated agreement approved by the Business Contracts Office must be utilized. 

If a Cardholder purchases software with a ProCard (rather than the University’s standard purchase order process), the Department with whom the purchaser is affiliated assumes and remains responsible for all such business and legal risks and costs, including damages and legal costs which may occur because of the purchase.
